Recordati to acquire Spanish pharmaceutical company Laboratorios Casen Fleet

Recordati will acquire 100% of the share capital of Laboratorios Casen Fleet S.L.U., a Spanish pharmaceutical company with headquarters in Madrid and production facilities in Utebo, Zaragoza. The value of the transaction (enterprise value) is of € 93 million and will be funded from existing liquidity. The transaction values Laboratorios Casen Fleet at 2 times sales. The closing of the transaction is expected to take place in the following weeks.

Endo acquires Specialty Generics Company Boca Pharmacal

Endo announced the acquisition of Boca Pharmacal, a specialty generics company that focuses on commercializing and developing products that include tablets and capsules, semisolids, solutions and suspensions. Endo will pay $225m in cash for Boca.

Actavis to acquire Warner Chilcott

Actavis, Inc. (NYSE: ACT) has announced that it will acquire Warner Chilcott plc (NASDAQ: WCRX) in a stock-for-stock transaction valued at approximately $8.5 billion. This represents a 43 percent premium compared to Warner Chilcott's volume-weighted average trading price of $14.00 for the 30 day trading period ending on May 9, 2013 (the day before Warner Chilcott disclosed it was engaged in preliminary discussions with Actavis) and a 34 per cent premium to the Warner Chilcott closing share price on May 9, 2013 of $15.01. Warner Chilcott shareholders will receive 0.160 shares of the combined company, or $20.08 per Warner Chilcott share, based on Actavis's closing share price of $125.50 on May 17.

Hikma to acquire Egyptian company for Pharmaceuticals and Chemicals Industries (EPCI)

UK based Hikma has agreed to acquire the Egyptian Company for Pharmaceuticals & Chemical Industries ("EPCI") from a consortium of shareholders.  The MENA region is attracting lot of M&A interest and this is the third deal in the recent past. The other two being Joint Ventures. ( Hetero and NeoPharma, UCB and NewBridge)

Hikma will pay an aggregate cash consideration of EGP 142.4 million upon closing, or approximately USD 22.2 million, based on the current exchange rate.  EPCI adds a complementary portfolio of 35 products (of which 27 are new to Hikma) in 46 dosage forms and strengths.


The acquisition will improve Hikma's presence in the following therapeutic areas
1) Cephalosporin anti-infectives,
2) Central nervous system and alimentary tract,
3) Ophthalmology market.
